Smith & Wesson completes Savage Arms acquisition in $160 million base deal
Smith & Wesson Brands completed its acquisition of Savage Arms on October 21, 2026, bringing the hunting and bolt-action rifle business under the same corporate owner as Smith & Wesson’s handgun operation. The acquisition announcement puts the base transaction value at $160 million. This is a completed change of ownership, not an agreement awaiting closing: the company’s SEC filing says the merger agreement was signed and the transaction consummated that day.
The acquired entity was Long Range Intermediate LLC, identified as “Savage” in the filing. The seller, Savarms, L.P., is a wholly owned subsidiary of JDH Capital I, L.P. Smith & Wesson used a two-step merger: its acquisition subsidiary first merged into Savage, then Savage merged into Smith & Wesson Brands. That legal structure establishes the ownership transfer; it does not, by itself, describe changes to individual Savage products or how customers will obtain service.
Closing payment differs from the headline price
The Form 8-K reports approximately $164.9 million in adjusted transaction value, rather than the $160 million base figure. Adjustments reflect estimates of Savage’s cash, indebtedness, transaction expenses, minimum cash balance and net working capital delivered at closing. Smith & Wesson issued exactly 8,993,968 common shares and paid $42.4 million in cash to the seller. Those closing figures remain subject to a further post-closing adjustment, which will be settled in cash.
